AKII — TERMS OF SERVICE

IMPORTANT NOTICE: ARBITRATION; CLASS ACTION WAIVER. PLEASE READ SECTION 15 CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.

1. Definitions

“App” means the Akii mobile application.

“Service” means the App, website(s), and related services provided by Akii LLC.

“Akii,” “we,” “us,” or “our” means Akii LLC, a Puerto Rico limited liability company.

“User” or “you” means any person who accesses or uses the Service.

“Content” means photos, captions, comments, messages, and other materials submitted, posted, transmitted, or otherwise made available through the Service.

“User Content” means Content you create, submit, or make available through the Service.

2. Acceptance; Binding Agreement

By accessing or using the Service, you agree to be bound by these Terms of Service (“Terms”) and our Privacy Policy, which is incorporated by reference. If you do not agree, do not access or use the Service.

3. Service Description; Core Rules

Akii is a photo-sharing service designed around in-app photo capture.

Core posting rule: posts are intended to be created using Akii’s in-app camera. The Service may restrict or prohibit gallery uploads, externally edited images, filtered images, and AI-generated images as part of the core posting flow, as determined by Akii in its discretion.

4. Eligibility

You may use the Service only if you:

(a) are at least 18 years old (or the age of majority where you live, if higher);
(b) are not prohibited from using the Service under applicable law; and
(c) have not been previously removed or banned from the Service and attempted to return without our written permission.

5. Account Registration; Security

You may be required to create an account. You agree to:

(a) provide accurate and current registration information;
(b) maintain the confidentiality of your credentials; and
(c) promptly notify us of any unauthorized access or use of your account.

You are responsible for all activity occurring under your account.

6. User Conduct; Acceptable Use

You agree not to, and not to attempt to:

(a) violate any applicable law, regulation, or court order;
(b) impersonate any person or entity or misrepresent your affiliation;
(c) harass, threaten, stalk, or harm another person; or encourage violence;
(d) exploit, harm, or attempt to exploit or harm minors;
(e) post or transmit non-consensual intimate imagery or sexual content involving minors (strictly prohibited);
(f) post pornography or explicit nudity; the Service may enforce a strict no-nudity policy;
(g) submit content that infringes or misappropriates another’s intellectual property or privacy rights;
(h) post another person’s sensitive personal information without authorization (e.g., government IDs, financial account numbers, home address);
(i) interfere with or disrupt the Service, including by introducing malware, automated scraping, denial-of-service attacks, or unauthorized access;
(j) reverse engineer, decompile, or attempt to extract source code except to the extent permitted by law;
(k) use bots, scripts, or automated methods to access, interact with, or collect data from the Service without our prior written permission;
(l) use the Service for unsolicited commercial promotion, spam, or deceptive practices; or
(m) circumvent or attempt to circumvent any access controls, safety features, or technical restrictions.

7. Content Visibility; Screenshots; User-to-User Risk

The Service is social. Other users may be able to view your username, your posted photos and captions, and your comments, consistent with the Service’s features. You understand that other users may capture or save content (including by screenshots or screen recording), and you assume the associated risk when sharing Content.

8. User Content Ownership; License Grant

You retain ownership of your User Content as between you and Akii.

You grant Akii a non-exclusive, worldwide, royalty-free, sublicensable (through our service providers), and transferable license to host, store, cache, reproduce, process, adapt (solely as needed for formatting and technical delivery), display, publish, and distribute your User Content for the purposes of operating, providing, maintaining, and improving the Service, and enforcing these Terms.

9. Content Removal; Deletion; Backups

You may delete certain User Content through the Service (where available). When you delete a photo, the underlying image file may be deleted from active storage, while related records (e.g., references for messages, likes, and comments) may remain in a de-identified or “unavailable” form to preserve thread integrity and prevent system breakage.

Deleted information may persist in backups for a limited period until backups are cycled.

10. Moderation; Enforcement; Termination

We may (but are not obligated to) monitor, review, remove, or restrict Content or accounts, and we may suspend or terminate your access to the Service at any time if we believe:

(a) you violated these Terms;
(b) your conduct creates risk or potential legal exposure for Akii or others;
(c) removal is required by law or a valid legal process; or
(d) you are abusing the Service, including attempting to evade enforcement.

We may also modify, suspend, or discontinue any part of the Service at any time.

11. Intellectual Property; Service Materials

The Service, including software, design, branding, logos, and all non-User Content materials (“Service Materials”), are owned by Akii or its licensors and are protected by applicable intellectual property laws. Except for the limited right to use the Service as permitted by these Terms, no rights are granted to you.

12. Copyright / IP Complaints (DMCA-Style Process)

If you believe Content on the Service infringes your copyright or other IP rights, send a notice to:

Your notice should include: (a) identification of the work claimed infringed; (b) identification of the allegedly infringing material and information reasonably sufficient to locate it; (c) your contact information; (d) a statement of good faith belief; and (e) a statement under penalty of perjury that the information is accurate and you are authorized to act.

We may remove or disable access to allegedly infringing material and may terminate repeat infringers where appropriate.

13. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, AKII DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE.

AKII DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT CONTENT WILL BE ACCURATE OR RELIABLE.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

(a) AKII WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF (OR INABILITY TO USE) THE SERVICE.

(b) AKII’S TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF: (I) US $100, OR (II) THE AMOUNT YOU PAID AKII (IF ANY) IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

Some jurisdictions do not allow certain limitations; in that case, the above applies to the maximum extent permitted.

15. Dispute Resolution; Arbitration; Class Action Waiver

15.1 Informal Resolution

Before initiating arbitration or litigation, you agree to send a notice of dispute to akii.puertorico@gmail.com with a brief description of the dispute and the relief sought. The parties will attempt in good faith to resolve the dispute informally within 30 days.

15.2 Agreement to Arbitrate

Except as provided in Section 15.3, any dispute, claim, or controversy arising out of or relating to the Service or these Terms (including their formation, interpretation, breach, termination, or validity) will be resolved by binding arbitration, rather than in court.

This arbitration agreement is governed by the U.S. Federal Arbitration Act (“FAA”) to the extent applicable.

15.3 Exceptions

Either party may bring an individual action in small claims court if the claim qualifies and remains in that court. Either party may seek injunctive or equitable relief in a court of competent jurisdiction to prevent actual or threatened infringement, misappropriation, or violation of intellectual property rights or unauthorized access to the Service.

15.4 Arbitration Procedures; Seat; Language

The arbitration will be administered by the American Arbitration Association (“AAA”) under its applicable rules (including the Consumer Arbitration Rules if applicable). The seat (legal place) of arbitration will be San Juan, Puerto Rico, unless the parties agree otherwise. The arbitration will be conducted in English, unless the parties agree otherwise.

15.5 Class Action Waiver

YOU AND AKII AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. THE ARBITRATOR MAY NOT CONSOLIDATE CLAIMS OR PRESIDE OVER ANY FORM OF REPRESENTATIVE OR CLASS PROCEEDING.

15.6 Jury Trial Waiver

IF A CLAIM PROCEEDS IN COURT RATHER THAN ARBITRATION, YOU AND AKII WAIVE ANY RIGHT TO A JURY TRIAL TO THE MAXIMUM EXTENT PERMITTED BY LAW.

15.7 Opt-Out

You may opt out of arbitration within 30 days of first accepting these Terms by sending an email to akii.puertorico@gmail.com with subject line “Arbitration Opt-Out” and your account email and username. Opting out will not affect any other provisions of these Terms.

16. Indemnification

You agree to defend, indemnify, and hold harmless Akii, its affiliates, and their respective managers, members, employees, contractors, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use of the Service; (b) your User Content; (c) your violation of these Terms; or (d) your violation of any third-party rights.

17. Governing Law; Venue (Non-Arbitrable Matters)

Except to the extent preempted by the FAA or other federal law, these Terms are governed by the laws of the Commonwealth of Puerto Rico, without regard to conflict of law principles. For disputes not subject to arbitration, exclusive venue will be state or federal courts located in Puerto Rico, and you consent to personal jurisdiction there.

18. App Store / Platform Terms

Your use of the App may also be subject to third-party terms (e.g., Apple App Store terms). If these Terms conflict with mandatory platform rules applicable to the Service distribution, those platform rules control only to the extent required.

19. Changes to Terms

We may update these Terms from time to time. We will update the “Last Updated” date and, where legally required, provide additional notice. Your continued use of the Service after the effective date of revised Terms constitutes acceptance.

21. Language; Translations

The English version controls for legal purposes to the maximum extent permitted by law. Translations may be provided for convenience.
